Membership Terms
In plain English: you tell us what you're looking for and we source it from our EU supplier network at true trade price, plus one transparent sourcing fee. Submitting a request never obligates you to buy, and your first request is free with no membership needed. If you go ahead, you pay us once you've agreed the design and style — no payment before that. Membership lowers your sourcing fee and is billed only once you subscribe to a tier. Keep your account to yourself, don't go around us to the suppliers we introduce, and pay for what you order — and we'll keep sourcing, handle every border, and deliver to your door.
01Who can join
- Sourcing requests and membership are open to genuine fashion retail businesses — not consumers, manufacturers, agents or wholesalers acting for third parties.
- Your first sourcing request can be submitted without a membership or any verification step.
- If you go on to subscribe to a membership tier, we verify your business after purchase (business details, company/VAT number, shop address or a live selling channel). If we can't verify you, we cancel and refund in full.
- We may decline or cancel any request or membership at our discretion, with a full refund of any unused membership, to protect the service and its suppliers.
02Sourcing requests
- Submitting a sourcing request (product/category, description, reference image, target price, quantity, sizes, colours, delivery date, own label) creates no obligation to buy.
- Your first sourcing request is free, whether or not you hold a membership. There is no charge for a request that doesn't result in an order.
- We check our existing supplier network first, then contact relevant suppliers where necessary. We may come back with a curated shortlist, or let you know if no suitable match is found — either way, at no charge.
- Quotes and shortlists are valid for a reasonable period stated when sent; prices and availability are subject to final supplier confirmation.
03Membership, billing & cancellation
- Membership is optional. It is billed monthly in advance from the point you subscribe to a tier, and renews automatically until cancelled — it is never triggered simply by submitting a sourcing request.
- Three tiers are available: Silver (15% sourcing fee), Gold (10% sourcing fee), Diamond (7% sourcing fee). Current pricing for each tier is shown on the membership page.
- Cancel any time from your account; access runs to the end of the paid period, no further payments. Started periods are non-refundable except where stated.
- Upgrade or downgrade any time — changes apply from your next billing date.
04Your account
- Membership access is personal to your business and non-transferable. One membership, one retail business; your staff may use it.
- Don't share your login, or any quotes, shortlists, supplier materials or images we send you, with anyone outside your business — including social media and buying groups.
- We may apply technical measures and suspend access while we investigate suspected misuse.
05Design protection
Suppliers share designs, images and pricing with us because sourcing is closed, vetted and protected. Any product designs, photos, patterns, technical details or pricing you receive through a sourcing request are confidential business information.
- You may NOT copy, reproduce or imitate any design shared with you, or commission a third party to do so.
- You may NOT share supplier materials with any manufacturer, designer or competitor.
- Images are licensed only for marketing products you have actually purchased, through your own channels; the licence ends per-product on a full refund.
- Breach means immediate termination of any membership without refund, and we reserve all rights — ours and our suppliers' — to recover losses.
06Non-circumvention
- Supplier identities, locations and contacts are confidential and deliberately not disclosed. You agree not to identify, contact or transact directly with any supplier introduced through a sourcing request — or help anyone else do so — during any active membership and for 24 months after your last order or request.
- This is what lets suppliers offer true trade prices — protecting it protects your prices.
07Orders, prices, fees, delivery & duty
- True trade price — the supplier's genuine price, no markup from us.
- Sourcing fee — set by your membership tier: 15% (Silver), 10% (Gold) or 7% (Diamond) on the value of goods, covering sourcing, supplier management, order coordination and the platform.
- Shipping — flat £45 per consolidated box (up to 25kg), door to door, regardless of how full the box is.
- Import duty — an illustrative 12% of goods plus shipping, calculated automatically at checkout/invoice so the total shown is final; actual duty may vary by shipment and is confirmed with your quote.
- Prices exclude UK VAT unless stated; VAT applied where applicable.
- No payment is taken until you've agreed the design and style following your sourcing request; we then send an invoice. Orders are placed with suppliers once payment clears and can't be cancelled once dispatch preparation is confirmed.
08Delivery & customs handling
- We handle all customs formalities on our own EORI — no EORI needed on your part, no paperwork, no surprise charges beyond what's shown on your invoice.
- Delivery estimates (typically 5–7 working days) are good-faith, not guarantees; cross-border delays can happen and we chase on your behalf.
09Claims, faults & returns
- Check every delivery on arrival. Raise claims for damaged, faulty, incorrect or missing items within 48 hours, with photos, via your account or jeansgemswholesale@gmail.com.
- Valid claims are resolved by replacement, credit note or refund of affected items including their share of fees — always commercially fair and communicated first.
- As a B2B service, change-of-mind returns aren't offered unless a listing says so. Statutory rights are unaffected.
10Fair use
- No reselling access to the sourcing service, no scraping or bulk-harvesting supplier information, and no using the service to benchmark for a competing service.
- We may set reasonable order minimums or allocation limits on specific requests — always shown before you order.
11Suspension & termination
- We may suspend or terminate immediately for breach of sections 04, 05 or 06, bad-faith chargebacks, or abuse toward our team or suppliers.
- On termination, your obligations under sections 05 and 06 continue.
12Liability
- Nothing limits liability that can't lawfully be limited. Otherwise our total liability in any 12-month period is capped at what you paid (membership + sourcing fees) that period, and we're not liable for indirect losses such as lost profits.
13General
- We may update these terms with 30 days' notice by email; continued use of the service or membership means acceptance. Pricing changes never apply retroactively to orders already placed.
- Governed by the laws of England and Wales; its courts have exclusive jurisdiction.
